Terms of Service

Welcome to WishFlo! These Terms of Service ("Terms") govern your access to and use of WishFlo.com and any related websites, apps, features, content, and services we provide (collectively, the "Service"). The Service is operated by WishFlo Technologies Ltd. ("WishFlo," "we," "us," or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

Creator: The user who creates and manages a celebration page.
Contributor: A user invited to add messages, media, or "Gifts" to a page.
Celebrant: The recipient or honoree of a celebration page.
Content: Any text, photos, videos, audio, files, links, codes, designs, templates, comments, or other materials.
User Content: Content submitted, uploaded, posted, transmitted, or otherwise made available by users.
Gift: User-provided digital items such as codes, voucher images, links, or files shared via the Service (not sold by WishFlo).

2. Eligibility and Age Requirements

You must be at least 16 years old to create an account or use the Service. If the laws where you live require a higher minimum age to consent to digital services or processing of personal data, you must meet that higher age.

By using the Service, you represent and warrant that you meet the applicable minimum age and have the legal capacity to enter into these Terms.

3. The Service and Feature Availability

WishFlo provides tools to create and share celebration pages and enable invited people to contribute messages and media.

Important:

A WishFlo gift store / marketplace is not currently available.
WishFlo is not a merchant-of-record for third-party goods or services, and we do not sell third-party gifts through the Service at this time.
We may add, remove, or change features at any time. Some features may be labeled as beta or "coming soon" and may not work as expected.

4. Account Registration, Security, and Communications

4.1 Account Responsibility

You are responsible for:

keeping your login credentials confidential,
restricting access to your device and account, and
all activity that occurs under your account.

Notify us promptly at support@wishflo.com if you suspect unauthorized access.

4.2 Account Deletion

We may offer self-serve deletion tools now or later. If self-serve deletion is not available, you may request account closure and deletion by emailing support@wishflo.com. We may need to verify your identity before acting.

4.3 Electronic Communications

By using the Service, you consent to receive communications from us electronically (e.g., email, in-product notices). You can opt out of non-essential messages where applicable, but certain notices may be necessary to provide the Service (e.g., security or account-related messages).

5. User Content, Ownership, and License

5.1 Your Ownership

You retain any ownership rights you have in your User Content. WishFlo does not claim ownership of it.

5.2 License to WishFlo

To operate the Service, you grant WishFlo a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, process, adapt (for formatting/display), publish, display, and distribute your User Content only:

to provide, maintain, and improve the Service,
to display it to people you choose to share with (e.g., invitees, Contributors, Celebrants, or recipients), based on your settings and sharing actions, and
to enforce these Terms and keep the Service safe.

5.3 "License Survives Sharing" Clarification

You understand that when you share a page or User Content with others (for example, by inviting Contributors or sharing an access link), those people may be able to view, copy, download, screenshot, re-share, or otherwise access that content depending on the nature of the content and the settings you choose.

Accordingly:

The license you grant WishFlo in Section 5.2 continues as needed to display and operate shared pages and shared User Content for the people you authorized, even if you later remove your own access or deactivate your account, to the extent (and only to the extent) that the content remains shared or retained under these Terms.
If you delete specific User Content, we will take reasonable steps to remove it from active display, but it may persist for limited periods in backups, logs, or where required for legal, security, or dispute-resolution reasons.

5.4 Your Responsibilities for User Content

You represent and warrant that:

you own or have the necessary rights, permissions, and consents to submit User Content;
your User Content does not infringe intellectual property, privacy, publicity, or other rights; and
your User Content complies with these Terms and applicable laws.

5.5 Content Visibility and Sharing

Some pages may be accessible via a link. You are responsible for link sharing and for choosing appropriate privacy settings. Do not share links with unintended recipients.

6. Gifts and Contributor Disclaimer (No Verification; No Merchant Role)

WishFlo may allow Contributors to share "Gifts" (such as gift codes, vouchers, subscription links, or files) as User Content.

You acknowledge and agree:

WishFlo does not verify, validate, or guarantee any Gift's authenticity, value, legality, safety, availability, or functionality.
WishFlo is not responsible for invalid codes, expired vouchers, fraud, scams, non-working subscriptions, malware, broken links, or third-party fulfillment issues.
Any Gift-related dispute is between the users (e.g., Contributor and Celebrant) and/or the third party associated with the Gift.
You should not upload sensitive data (e.g., bank details, government IDs) as a Gift or anywhere on the Service.

7. Acceptable Use (Rules of the Road)

You agree not to (and not to attempt to):

access or probe our systems or infrastructure without authorization;
interfere with the Service's operation or security;
upload malware or harmful code, or use the Service to distribute it;
use automated scraping, harvesting, or data extraction without our permission;
harass, threaten, defame, or abuse others;
create or share content that is unlawful, infringing, hateful, exploitative, or otherwise harmful;
impersonate others or misrepresent your identity or affiliation;
use the Service for spam or deceptive practices.

We may remove User Content, restrict visibility, suspend accounts, or terminate access if we reasonably believe you violated these Terms or pose a risk to the Service or others.

8. Moderation, Reporting, and Takedowns

We may (but are not obligated to) monitor or review User Content. We may remove or restrict User Content at our discretion, including to comply with law, enforce these Terms, or protect users.

To report abuse, illegal content, or rights violations, contact support@wishflo.com with relevant details (URLs/screenshots, and an explanation).

9. Copyright and Intellectual Property Complaints

If you believe content on the Service infringes your copyright or other intellectual property rights, contact support@wishflo.com with:

identification of the work claimed to be infringed,
where the allegedly infringing material is located on the Service,
your contact details,
a statement that you have a good-faith belief the use is unauthorized, and
a statement that your notice is accurate.

We may remove content and, where appropriate, restrict repeat infringers.

10. Third-Party Services and Links

The Service may rely on third-party services for functionality and infrastructure, including:

Cloudinary (media storage/processing),
Mailgun (email delivery), and
PostHog (usage analytics).

Third-party links may be provided for convenience and do not imply endorsement. Your use of third-party services may be governed by their separate terms and policies.

11. Fees and Monetization

The Service is currently offered free of charge. We may introduce paid features, subscriptions, or fees in the future. If we do, we will:

clearly disclose pricing and material terms before you are charged, and
update these Terms as needed.

12. Privacy and Data Protection

Our collection and use of personal data are described in our Privacy Policy and Cookies Policy, which are incorporated by reference into these Terms.

You acknowledge that we collect usage data (for example, feature interactions and performance events) to operate, maintain, and improve the Service, including via analytics tooling.

If you are using the Service on behalf of an organization, you represent you have authority to bind that organization and that you will ensure compliance with applicable data protection laws.

13. WishFlo Intellectual Property

The Service (including software, code, templates, designs, logos, and trademarks) is owned by WishFlo or its licensors and protected by applicable laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service.

14. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate your access (and remove or restrict User Content) if:

you violate these Terms,
we must do so to comply with law,
your use creates risk or potential harm to WishFlo or others, or
we discontinue the Service (in whole or in part).

Where reasonable and lawful, we will attempt to provide notice.

15. Disclaimers

To the maximum extent permitted by law:

The Service is provided "as is" and "as available."
We do not warrant that the Service will be uninterrupted, secure, error-free, or that any User Content (including Gifts) will be accurate or reliable.
WishFlo is not responsible for user interactions or disputes.
Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

16. Limitation of Liability

To the maximum extent permitted by law:

WishFlo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption.
WishFlo's total liability for any claim arising out of or relating to the Service will not exceed the greater of:
- the amount you paid WishFlo (if any) in the 12 months before the event giving rise to the claim, or
- USD $100 (or the equivalent in your local currency).
Nothing in these Terms limits liability that cannot be excluded under applicable law (for example, certain consumer protections, fraud, or willful misconduct).

17. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless WishFlo and its affiliates, directors, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

your User Content,
your use of the Service, or
your violation of these Terms or applicable law.

18. Dispute Resolution (Informal First; Local Rights Preserved)

If a dispute arises, you agree to contact us first at support@wishflo.com and attempt to resolve the matter informally.

If informal resolution fails, disputes will be resolved in a competent court or tribunal, unless mandatory local consumer laws provide otherwise. Nothing in these Terms is intended to deprive you of mandatory rights or remedies you may have under the laws of your country of residence.

19. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you (e.g., by email or in-app notice). Continued use of the Service after the effective date of the updated Terms means you accept the changes.

20. Miscellaneous

Severability: If any provision is unenforceable, the remaining provisions remain in effect.
Assignment: You may not assign these Terms without our consent; we may assign our rights and obligations as part of a merger, acquisition, reorganization, or sale of assets.
No Waiver: Failure to enforce a provision is not a waiver.
Entire Agreement: These Terms, plus the Privacy Policy and Cookies Policy, constitute the entire agreement regarding the Service.
